Terms of Service

These Terms of Service (these “Terms”) form a binding agreement between EASYANT PTE. LTD., operating the PhoneGrid service (“PhoneGrid,” “we,” “our,” or “us”), and the person or entity accessing or using the Services (“you” or “your”).

By clicking “Agree,” “Accept,” or a similar assent mechanism, or by downloading, installing, registering for, accessing, or using any part of the Services after receiving notice of these Terms, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Services.

1. Definitions

For purposes of these Terms:

  • “Account” means your PhoneGrid account.
  • “Cloud Phone Services” means PhoneGrid’s remote Android device environments, session management, device management, and related features.
  • “Browser/Profile Services” means browser-related environments, browser profiles, configuration files, synchronization, sharing, and related features where offered.
  • “Workspace” means a team, organization, or shared environment administered through the Services.
  • “Services” means the PhoneGrid websites, desktop applications, cloud phone services, browser/profile features, automation features, APIs, integrations, Workspace functions, support channels, and related services we make available.
  • “User Content” means data, materials, files, credentials, instructions, automation flows, text, images, screenshots, logs, app data, uploads, device content, and other content that you or your Workspace submit to, store in, generate through, or otherwise process using the Services.

2. Scope of the Services

PhoneGrid provides a cloud-based mobile execution environment and related services. The Services may include:

  1. Cloud Phone Services, including access to remote Android environments, device/session creation, management, retention, and related operational features;
  2. Browser/Profile Services, including browser-related environments and profile functions where offered;
  3. automation, API, integration, and workflow-related features;
  4. Workspace collaboration, permissions, sharing, and administration features; and
  5. associated websites, applications, support channels, and related service interfaces.

PhoneGrid is designed for cloud phone operations, device execution, identity isolation, workflow execution, team collaboration, testing, automation, and related operational use cases. Browser/profile functionality, where available, is supplementary to the broader Service offering and does not limit the scope of the Services.

The Services are not financial services, asset custody services, brokerage services, exchange services, banking services, or digital asset management services.

We may, in our sole discretion, limit or refuse sale, provisioning, activation, access, or availability of any Service, feature, quota, region, plan, or account for legal, regulatory, sanctions, export-control, fraud-prevention, security, risk-control, capacity, operational, payment, or business reasons.

We may also update, suspend, discontinue, improve, add, remove, or modify any part of the Services at any time.

3. Eligibility and Authority

You may browse certain public pages without creating an Account. To register for or use authenticated Services, you must be at least 18 years old, or otherwise old enough to form a legally binding contract under the laws of your jurisdiction.

If you use the Services on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and “you” includes both you and that entity.

You may not use the Services if your use would violate applicable law, sanctions, export-control restrictions, contractual restrictions binding on you, or lawful instructions or restrictions we apply to the Services.

4. Accounts and Security

You are responsible for all activities that occur under your Account and for maintaining the confidentiality and security of your login credentials, access tokens, API keys, Workspace permissions, devices, and local environment.

You must provide accurate, current, and complete registration and billing information and keep it updated.

You must promptly notify us if you know or reasonably suspect any unauthorized access, compromise, credential leakage, abuse, fraud, or security incident relating to your Account or use of the Services.

You are solely responsible for maintaining the security of your local devices, operating systems, browsers, credentials, scripts, plugins, extensions, local files, and third-party software used with the Services.

5. Subscription Plans, Fees, Credits, and Billing

Some Services are offered on a paid basis. Pricing, quotas, minute-based charges, subscription periods, device counts, concurrency limits, retention periods, feature availability, and plan scope are described in the applicable pricing page, order form, in-product purchase flow, invoice, or other commercial terms presented to you at the time of purchase.

Unless otherwise stated:

  • fees are quoted exclusive of taxes, duties, levies, and governmental charges, and you are responsible for such amounts other than taxes on our net income;
  • prepaid fees, credits, minutes, quotas, retained environments, add-ons, and subscriptions are non-refundable once purchased, except as required by applicable law or expressly stated in our Refund Policy or other written terms;
  • purchased resources may expire, reset, be consumed, or be forfeited according to the applicable plan, billing cycle, retention rules, or promotional terms;
  • we may use third-party payment processors and payment channels; and
  • we may suspend, downgrade, or limit the Services if payment is overdue, reversed, disputed, rejected, or reasonably suspected to be fraudulent.

If your plan renews automatically, you authorize us or our payment processors to charge the then-applicable recurring fees and any applicable taxes to your designated payment method unless you cancel before the renewal takes effect.

Promotions, trials, discounts, coupons, partner offers, and special credits may be subject to separate eligibility rules and may be changed, withdrawn, or denied in cases of abuse, duplication, manipulation, or risk concerns.

6. Free Trials and Promotional Access

We may offer free trials, test credits, beta access, manual approvals, or promotional access for some users or channels.

We may review, approve, deny, limit, revoke, or modify any free trial or promotional access in our discretion, including for abuse-prevention, identity verification, anti-fraud, repeated signups, sanctions, payment risk, technical abuse, or business reasons.

Unless we expressly state otherwise, free trials and promotional access are provided “as is” without warranty and may be reduced, suspended, or terminated at any time.

7. Acceptable Use

You must use the Services only in compliance with applicable law and these Terms.

You must not, and must not permit others to:

  1. violate any law, regulation, court order, sanction, export-control rule, intellectual property right, privacy right, contractual restriction, or third-party right;
  2. use the Services for fraud, deception, phishing, malware, credential theft, unauthorized access, spam, harassment, abuse, or unlawful surveillance;
  3. upload, distribute, transmit, store, or execute malicious code, ransomware, spyware, trojans, worms, or other harmful content;
  4. interfere with, disable, overburden, disrupt, bypass, probe, or defeat any security, risk-control, access-control, usage-control, or technical limitation of the Services;
  5. access or use another user’s Account, device environment, Workspace, or data without authorization;
  6. use the Services in a manner that imposes unreasonable or disproportionate load on our infrastructure or that of our providers;
  7. scrape, crawl, or extract data from the Services by automated means except through APIs, integrations, automation features, or interfaces expressly authorized by PhoneGrid;
  8. reverse engineer, decompile, disassemble, decode, or attempt to derive source code, models, non-public APIs, or underlying components of the Services, except to the extent such restriction is prohibited by applicable law;
  9. use the Services to develop, benchmark, train, improve, or validate a competing product or service except as expressly authorized in writing;
  10. remove, obscure, or alter proprietary notices or technical protection measures; or
  11. use the Services in a way that creates legal, regulatory, reputational, cybersecurity, sanctions, or infrastructure risk for PhoneGrid, our users, our providers, or third parties.

PhoneGrid may investigate suspected violations and may suspend, restrict, terminate, preserve evidence, or cooperate with lawful requests where reasonably necessary.

8. Workspace Administration and Shared Environments

If you create, administer, or act on behalf of a Workspace, you are responsible for:

  • assigning and managing roles, permissions, and access levels;
  • ensuring that Workspace members are authorized to access relevant devices, environments, data, and automations;
  • managing device allocation, retention, transfers, and shared access practices; and
  • obtaining any consents, notices, or internal approvals required for your Workspace’s use of the Services.

Workspace administrators may be able to access, manage, transfer, monitor, export, delete, or restrict Workspace resources, device environments, browser/profile resources, logs, settings, members, and certain User Content associated with the Workspace.

We are not responsible for internal Workspace management decisions, member actions, role assignments, or intra-Workspace disputes.

9. User Content, Instructions, and Responsibility

As between you and PhoneGrid, you retain ownership of your User Content, subject to the rights you grant below.

You grant PhoneGrid a worldwide, non-exclusive, royalty-free right to host, store, reproduce, transmit, adapt, display, process, back up, and otherwise use User Content solely as reasonably necessary to:

  • provide, operate, maintain, secure, troubleshoot, support, and improve the Services;
  • perform your instructions and Workspace instructions;
  • comply with law, lawful requests, and our policies; and
  • enforce these Terms and protect the Services and their users.

You represent and warrant that you have all rights, permissions, notices, and legal bases needed for your User Content and your use of the Services.

You are solely responsible for:

  • the legality, accuracy, quality, integrity, and reliability of User Content;
  • your automations, workflows, scripts, task logic, and operational choices;
  • your handling of credentials, app logins, API keys, secrets, tokens, and sensitive data;
  • your own backup practices unless a feature expressly states otherwise; and
  • determining whether the Services are appropriate for any particular workflow, regulatory environment, or risk profile.

We are not required to monitor User Content, but we may review, preserve, remove, disable access to, or disclose User Content where reasonably necessary to operate the Services, provide support, investigate abuse, respond to legal process, address security risks, or enforce these Terms.

10. Environment Retention, Deletion, and Data Availability

Cloud phone environments, browser/profile resources, logs, backups, screenshots, uploads, and related data may be deleted, overwritten, reset, expired, or become unavailable based on:

  • plan limits or resource limits;
  • retention periods included in your plan or add-ons;
  • expiry of free trials, promotional access, credits, prepaid resources, or subscriptions;
  • account deletion, Workspace deletion, suspension, or termination;
  • inactivity;
  • technical migrations, failures, backup rotations, or storage management; or
  • legal, risk, fraud, security, or policy reasons.

You are responsible for exporting or backing up any data you wish to retain before cancellation, expiration, downgrade, deletion, or prolonged inactivity.

Unless otherwise required by applicable law or expressly stated in writing, we are not liable for deletion, reset, expiration, or loss of environments or data under this Section.

11. Third-Party Services and Integrations

The Services may interoperate with, link to, embed, or rely on third-party services, including app stores, payment processors, wallets, plugins, extensions, analytics tools, cloud providers, communication channels, proxy providers, workflow tools, and software integrations.

PhoneGrid does not control and is not responsible for third-party services, including their availability, security, legality, privacy practices, data practices, pricing, content, or terms.

Your use of third-party services is at your own risk and may be subject to separate terms and privacy policies.

12. Digital Asset and Wallet Risk Notice

PhoneGrid is an execution environment service. It is not a wallet, custodian, exchange, broker, bank, trustee, fiduciary, financial institution, or digital asset service provider.

PhoneGrid itself does not access, store, manage, control, transmit, recover, or safeguard private keys, seed phrases, recovery phrases, wallet credentials, or digital assets.

Any wallet-related functionality used within a cloud phone, browser environment, or other Service area is provided solely by third-party tools selected, installed, configured, enabled, or used by you.

User Security Baseline Obligations

You acknowledge and agree that:

  1. you will not treat the Services as your primary or long-term custody solution for significant digital assets;
  2. you will not use the Services, including shared Workspaces, notes, uploads, automation flows, scripts, saved inputs, local files, or synchronized materials, to insecurely store or expose private keys, seed phrases, recovery phrases, wallet credentials, or similarly sensitive wallet data;
  3. where significant digital assets are involved, you should use dedicated custody tools, hardware wallets, or other specialized security solutions;
  4. you are responsible for keeping your local devices, credentials, operational environment, and access controls secure and up to date; and
  5. if you use shared or team-based environments, you will not unnecessarily grant wallet-enabled access or use shared/admin environments as the primary means of managing high-risk wallets or significant digital assets.

Risk Allocation

To the maximum extent permitted by applicable law, PhoneGrid is not liable for losses arising out of or relating to:

  • third-party wallet tools, plugins, extensions, bridges, nodes, chains, smart contracts, validators, protocols, app stores, or digital asset services;
  • user error, misconfiguration, mistaken approvals, wrong addresses, wrong networks, duplicate actions, script errors, or failure to verify transaction details;
  • loss of speculative opportunities, tokens, airdrops, rewards, points, staking income, expected gains, or similar derivative or contingent value;
  • compromise of local devices, local files, credentials, unofficial download channels, or insecure backups;
  • software supply-chain attacks, malicious updates, dependency compromise, build or release compromise, code-signing compromise, CI/CD compromise, or similar events affecting PhoneGrid, its providers, third-party tools, or your environment; or
  • your failure to follow the baseline precautions set out above.

Any warning, confirmation flow, risk notice, or workflow restriction we provide is a risk-control measure only and does not create a custody, insurance, fiduciary, monitoring, or special protective duty.

13. Intellectual Property

PhoneGrid and its licensors own all rights, title, and interest in and to the Services, including all software, designs, interfaces, workflows, branding, documentation, text, graphics, audiovisual works, compilations, and related intellectual property, excluding User Content.

Subject to your compliance with these Terms, PhoneGrid grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for your internal business or personal use in accordance with your plan and these Terms.

Except as expressly permitted by these Terms or by applicable law, no rights are granted to you by implication, estoppel, or otherwise.

14. Feedback

If you provide feedback, suggestions, ideas, requests, recommendations, or comments relating to the Services (“Feedback”), you grant PhoneGrid a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable, non-exclusive right to use, reproduce, modify, adapt, publish, distribute, and otherwise exploit that Feedback for any purpose without restriction or compensation.

15. Suspension and Termination

We may suspend, restrict, downgrade, or terminate your access to some or all of the Services, with or without notice where reasonably necessary, if:

  • you breach these Terms or applicable law;
  • we reasonably suspect fraud, abuse, sanctions exposure, payment risk, unauthorized access, malware, security compromise, or misuse;
  • your use creates risk to the Services, our users, our providers, or third parties;
  • payment is overdue, reversed, disputed, or rejected;
  • we are required to do so by law, court order, regulator, sanctions program, or service provider requirement; or
  • continuing to provide the Services is no longer commercially, operationally, or technically feasible.

You may stop using the Services at any time and may delete your Account through available functionality or by contacting support where such functionality is unavailable.

Termination or deletion does not entitle you to refunds except as required by applicable law or expressly provided in written terms. Sections that by their nature should survive will survive termination, including those relating to fees, ownership, disclaimers, limitations of liability, indemnity, dispute resolution, and general provisions.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”

PHONEGRID AND ITS AFFILIATES, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICES WILL BE COMPATIBLE WITH ANY PARTICULAR APP, WEBSITE, WALLET, EXTENSION, DEVICE, OPERATING SYSTEM, NETWORK, WORKFLOW, COMPLIANCE REGIME, OR THIRD-PARTY TOOL.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PHONEGRID AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, USE, SAVINGS, DIGITAL ASSETS, TOKENS, POINTS, REWARDS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF PHONEGRID AND ITS AFFILIATES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO PHONEGRID FOR THE RELEVANT SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION AND EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

18. Indemnification

To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless PhoneGrid and its affiliates, directors, officers, employees, contractors, licensors, suppliers, and service providers from and against any claims, actions, proceedings, investigations, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • your access to or use of the Services;
  • your User Content;
  • your automations, scripts, tasks, device activity, browser/profile activity, or Workspace activity;
  • your breach of these Terms;
  • your violation of applicable law or third-party rights; or
  • any dispute between you and a Workspace member, end user, counterparty, customer, or other third party.

19. Governing Law and Dispute Resolution

To the maximum extent permitted by applicable law, these Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Services, including any question regarding existence, validity, interpretation, breach, termination, or enforceability, shall be governed by the laws of Singapore, without regard to conflict of laws principles.

Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the SIAC Rules for the time being in force, which rules are deemed incorporated by reference into this Section.

The seat of arbitration shall be Singapore. The tribunal shall consist of one (1) arbitrator. The language of the arbitration shall be English. The law governing this arbitration agreement shall be the laws of Singapore. The arbitral award shall be final and binding on the parties.

To the maximum extent permitted by applicable law, any arbitration or litigation permitted under these Terms shall be conducted only on an individual basis and not on a class, collective, representative, or consolidated basis. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of class, collective, representative, or consolidated proceeding except to the extent mandatory law requires otherwise.

Nothing in this Section prevents PhoneGrid from seeking temporary, preliminary, or injunctive relief, or enforcement of any arbitral award, in any court of competent jurisdiction.

If binding arbitration or any class, collective, representative, or consolidated waiver in this Section is held unenforceable as to a particular claim, then that claim shall be resolved exclusively in the courts of Singapore, except to the extent mandatory law requires otherwise.

20. Electronic Communications

You consent to receive agreements, notices, disclosures, invoices, renewals, security alerts, policy updates, and other communications from us electronically, including by email, in-product notice, account message, website posting, or other reasonable electronic means, and agree that such communications satisfy any legal requirement that they be in writing.

21. Changes to the Services or These Terms

We may update the Services and these Terms from time to time.

If we make material changes to these Terms, we may provide notice through the Services, website, email, account message, pop-up notice, or other reasonable electronic means. Where required by applicable law, or where we consider it appropriate, we may require you to re-accept the updated Terms before continued use of some or all Services.

Unless otherwise stated, revised Terms become effective when posted or on the effective date stated in the notice. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms to the maximum extent permitted by applicable law.

22. General

These Terms, together with the Privacy Policy, Refund Policy, Cookie Policy, and any order form, pricing page, or additional terms expressly incorporated by reference, form the entire agreement between you and PhoneGrid regarding the Services and supersede prior or contemporaneous understandings relating to the Services.

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Our failure to exercise or enforce any right or provision is not a waiver of that right or provision.

You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, or as otherwise permitted by law.

If these Terms are translated into another language, the English version controls to the maximum extent permitted by applicable law.
